Luxembourg’s Centralis Group has agreed to acquire PINE Advisor Solutions, a US firm that delivers compliance, fund officer, and distribution services to asset managers.
Financial details of the acquisition were not revealed.

The deal expands Centralis foothold in the US, enhancing its expertise in regulatory compliance and fund services.
The company further said that the purchase will speed up its foray into registered funds, evergreen structures, as well as active ETFs.
PINE is currently distributor for over $25bn in ETF assets.
The firm offers outsourced chief compliance officer and principal financial officer support for US-registered funds, as well as chief financial officer and compliance services for private funds.

PINE co-founder and managing partner Derek Mullins said: “This partnership is a natural next step for PINE. Centralis currently serves more than 2,000 clients globally and employs more than 500 staff across 13 countries.
Completion of the deal is anticipated by early second quarter 2026, contingent on regulatory approval.

Set up in 2006, Centralis provides a variety of services including asset management, fund administration, treasury, compliance reporting, capital markets support, and business services for clients in private markets, real estate, regulated sectors, and multinational corporations.
